1. Acceptance of Terms

By accessing or using NeoDiffuse ("the Service"), operated by Northern Algorithm LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

2. Description of Service

NeoDiffuse is an AI-powered video and image generation platform that allows users to create content using artificial intelligence models including Google’s Veo, Imagen, Gemini and other models hosted on Replicate.

3. Eligibility

You must be at least 13 years old (or 16 in jurisdictions where 13 is not sufficient) to use the Service. Users under 18 must have parental consent. By using the Service, you represent that you meet these requirements.

4. Subscription & Payment

• Paid features require an active subscription processed through our third-party payment provider.
• Subscriptions auto-renew monthly or annually until cancelled in your account settings.
• You may cancel at any time; access continues until the end of the billing period. We do not offer partial refunds.
• We reserve the right to change prices with at least 30 days’ prior notice via email or in-app notification.
• Any taxes, duties, or bank fees are your responsibility.

5. Acceptable-Use Policy

5.1 Permitted Uses

You may use the Service to generate content for personal, educational, research, or commercial projects.

5.2 Prohibited Content

You agree not to create or share content that:

• Violates any laws or regulations
• Promotes violence, harassment, or hate
• Contains sexually explicit or pornographic material
• Infringes intellectual-property or privacy rights
• Contains malware or malicious code
• Facilitates financial fraud or scams

5.3 Content Moderation

We reserve the right to review, remove, or block any content and to suspend or terminate accounts that violate these Terms.

6. Intellectual Property

6.1 Your Prompts

You retain ownership of the text prompts and input data you provide. By submitting prompts, you grant us a licence to process and store them for the purpose of providing the Service.

6.2 Generated Content

You own all rights, title, and interest in the assets generated from your prompts, subject to applicable law and third-party model terms. You may use the generated content for any lawful commercial or non-commercial purpose. You are responsible for ensuring that your use complies with these Terms and with any applicable laws.

6.3 Our IP

The Service code, design, and trademarks are the property of Northern Algorithm LLC.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted Service. Downtime may occur for maintenance, third-party outages, or force-majeure events.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided “as is” without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold Northern Algorithm LLC harmless from any claims, losses, or damages arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your infringement of any third-party rights.

10. Termination & Data Deletion

We may suspend or terminate your account immediately for cause. Upon termination:

• Your access to the Service ceases immediately.
• Generated content will be deleted within 30 days.
• Account data may be retained for up to 90 days after account deletion for backup integrity and fraud investigations, unless a longer retention period is required by law.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the state of Delaware, without regard to conflict-of-law principles. Any dispute will first be attempted to be resolved informally; failing that, it shall be resolved via binding arbitration in Delaware, except for claims eligible for small-claims court.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

14. Feedback & Suggestions

If you choose to submit comments, ideas, or suggestions about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you.

15. DMCA & IP Takedown

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, please send a notice to contact@northern-algorithm.com with the information required by 17 U.S.C. §512. We will promptly investigate and remove infringing material where appropriate.

16. Disclaimer on Generated Output

AI-generated content may be inaccurate, offensive, or infringe third-party rights. You are solely responsible for reviewing the output before use and for complying with all applicable laws, including advertising and privacy regulations.
